Getty Images stock soared Monday after Trillium Capital made a “non-binding proposal” to acquire the stock-photo company for $10 a share in cash.

But Getty shares still trade at a sharp discount to the Trillium bid, and the challenges to completing the proposed deal are substantial. Shares of Getty surged 40% Monday to $7.09, leaving them nearly 30% below the proposed offering price.
