Syniverse to list on NYSE via merger with SPAC, creating firm worth USD 2.85 billion

Syniverse is planning to go public through a merger with M3-Brigade Acquisition II Corp (MBAC), a publicly traded special purpose acquisition company (SPAC). The deal implies an initial enterprise value for Syniverse of USD 2.85 billion, or an enterprise value-to-adjusted 2022E EBITDA multiple of 12.1x, and will provide Syniverse with up to USD 1.165 billion in cash through a combination of equity and equity-linked capital. Upon closing, the publicly traded company Syniverse Technologies Corporation will be listed on the New York Stock Exchange.
