Conversion of Private Limited in to LLP

I want to convert 2 months old private limited in to LLP. While filing forms it give quarry about non filling of annual return. Is it necessary to file annual return of two month old private limited company ? If yes under which provision or rules ? Is there any circular to give this effect ?
