The Transferor Company Cimmco Limited, has fixed Record Date to determine the entitlement of shareholders of Cimmco Limited to equity shares of Titagarh Wagons Limited.

Scheme of Amalgamation: -
Upon the Scheme becoming effective and in consideration of the Amalgamation of Cimmco Limited and Titagarh Wagons Limited.
Titagarh Wagons Limited shall issue and allot Equity Shares to the shareholders of Cimmco Limited in the following share exchange ratio:
“13 (Thirteen) equity shares of Titagarh Wagons Limited having a face value of INR 2 each to be issued as fully paid-up, for every 24 (Twenty four) equity shares held by shareholder of Cimmco Limited having a face value INR 10 each (“Share Exchange Ratio”).”
