Comcast offers $35 a share for 21st Century Fox assets

Comcast Corp. offered 21st Century Fox Inc. $35 a share in cash for assets that it had agreed to sell Walt Disney Co. , Comcast said late Wednesday. The offer is a 19% premium over Disney's offer and values Fox at $65 billion. "In light of yesterday's decision in the AT&T/Time Warner case, the limited time prior to your shareholders' meeting, and our strong continued interest, we are pleased to present a new, all-cash proposal that fully addresses the Board's stated concerns with our prior proposal," Comcast Chief Executive Brian Roberts wrote in a letter to Fox executives. Comcast said it will host a call with investors at 4:45 p.m. Eastern time Wednesday. Comcast stock is down 1% after-hours trading and closed up 0.2% to $32.32 during the regular session. Fox class B shares are up more than 1% in after hours trading after closing up 7.5% to $43.41 during the regular session. Comcast stock is down 19% this year, as the S&P 500 index has gained 4.2%.

Analysts are declaring 21st Century Fox a "clear winner" following Tuesday's court decision to allow AT&T to acquire Time Warner . The ruling paves the way for a potential bidding war between Walt Disney Co. and Comcast Corp. as the Marvel owner and cable giant look to buy up some of Fox's most highly prized entertainment assets, including the Twentieth Century Fox TV and film studios, cable networks like FX and National Geographic Channel, a 39% stake in Sky PLC and a controlling stake in Hulu. Although Comcast is reportedly planning a $60 billion all-cash offer to compete against Disney's existing all-stock $52.4 billion bid, analysts at Jefferies think bids could reach as high as $80 billion, or $42.50 a share, and still maintain investment-grade credit ratings. Fox shares shot up 7.4% to a record high during trading on Wednesday. AT&T shares fell 4.5% and Time Warner shares increased by 3.15%.

The ruling paves the road for a bidding war between Comcast Corp. and Walt Disney Co. for some of Fox's [s:FOXA] valuable entertainment assets, including the Twentieth Century Fox TV and film studios, a controlling interest in Hulu and a 39% stake in Sky PLC. Fox shares are up 26.1% so far this year, while Comcast shares have fallen 21.3% and Disney shares have retreated 1.5%.
