Qualcomm extends cash tender ofer for NXP shares to 5.00 p.m. ET April 2

Chip maker Qualcomm Inc. said Friday it has extended its cash tender offer for NXP Semiconductors N.V. to 5.00 p.m. Eastern Time on April 2. The company is offering to buy NXP in a deal valued at about $44 billion. Qualcomm said so far, shareholders representing 15.1% of outstanding NXP shares have validly tendered them. Qualcomm itself was the subject of an unsolicited bid from Broadcom Inc. until President Donald Trump blocked the Singapore company earlier this month. Qualcomm shares were down 0.5% in premarket trade, while NXP was up 1.9%. S&P 500 futures were down 0.2%.

Qualcomm Inc. said late Friday it is withdrawing its re-nomination of Paul Jacobs, after he stepped down as chairman and signaled an intent to take the company private. The chipmaker said it will shave its board to 10 seats and that Jacobs will not be re-nominated "following his notification to the Board that he has decided to explore the possibility of making a proposal to acquire Qualcomm." The company did say that it will evaluate an offer from Jacobs if presented with one. In a statement, Jacobs said: "I am glad the board is willing to evaluate such a proposal, consistent with its fiduciary duties to shareholders. It is unfortunate and disappointing they are attempting to remove me from the board at this time." Jacobs stepped down as chairman last week. Qualcomm said it will hold its annual shareholder meeting on March 23. The company's originally scheduled March 6 meeting was delayed following a national security probe, and later blocking by President Donald Trump, of Broadcom Ltd.'s hostile takeover of Qualcomm, which Broadcom eventually dropped. Qualcomm shares rose 0.9% after hours.

Former Qualcomm Inc. Chairman Paul Jacobs is trying to put together funding to buy the chipmaker and take it private, the Financial Times has reported. Jacobs has approached "several global investors," including Japan's SoftBank , in his efforts to set up a buyout of the $89 billion company co-founded by his father Irwin Jacobs, the Thursday report said. His efforts come after President Donald Trump on Monday blocked a hostile bid by Singapore-based Broadcom Ltd. to take over Qualcomm, citing national security concerns. Just days before Trump's intervention, Jacobs stepped down as executive chairman of Qualcomm, though he kept his place on the chipmaker's board.

Broadcom Ltd. said Wednesday it has withdrawn and terminated its hostile bid to buy Qualcomm Inc. , following President Donald Trump's move this week to block the deal citing national security concerns. The Singapore-based chip maker said it has also withdrawn its nominees for Qualcomm's board of directors. Qualcomm's stock rose 0.7% in premarket trade, while Broadcom shares were still inactive. "Although we are disappointed with this outcome, Broadcom will comply with the Order," Broadcom said in a statement. "Broadcom will continue to move forward with its redomiciliation process and will hold its Special Meeting of Stockholders as planned on March 23, 2018." Over the past three months, Broadcom's stock had gained 0.7% through Tuesday, while Qualcomm shares had shed 7.7%, the PHLX Semiconductor Index had run up 15.5% and the S&P 500 had tacked on 4.3%.

Shares of Qualcomm Inc. are down 3.8% in Tuesday morning trading, after President Donald Trump said that he would block Broadcom Ltd.'s hostile takeover of the company. Broadcom shares are up 2.6% and Intel Corp. shares are up 3.2%. "With the takeover risk gone, Qualcomm must face the reality of multiple outstanding issues, including its own acquisition of NXP Semiconductors , a major conflict with Apple , and headwinds in its core businesses," BMO Capital Markets analyst Tim Long wrote Tuesday. Qualcomm shares are up 3.5% over the past 12 months, while Broadcom shares are up 19%. The S&P 500 has gained 18% in that time, while the PHLX Semiconductor Index is up 45%.
