Salesforce to buy Mulesoft, valuing company at $6.5 billion

Salesforce.com Inc. announced an agreement to acquire Mulesoft Inc. on Tuesday afternoon, confirming a report that sent Mulesoft shares soaring during the regular trading session. Salesforce said it agreed to pay $36 in cash and fractional Salesforce shares for each share of Mulesoft, which would add up to a price of $44.89 a share. Mulesoft, which specializes in application programming interfaces, or APIs, went public at $17 a share a year ago and closed Monday at $33.03, about 36% lower than the price Salesforce agreed to pay. Salesforce said it would fund the deal with cash and about $3 billion in loans and debt issuances. Mulesoft shares shot to all-time highs after Reuters reported the deal was in the works Tuesday, closing up 27.2% at $42. The stock added about 3.5% in late trading after the deal was officially announced.

Shares of MuleSoft Inc. jumped 20% after Reuters reported that Salesforce.com Inc. was in advanced talks to buy the software company. The report, which cites people familiar with the matter, said that a deal could be announced this week at the earliest, though they said that nothing had been formally agreed upon yet. Salesforce shares are up 0.9% in Tuesday trading. MuleSoft went public a year ago, and shares had nearly doubled from their IPO price of $17 prior to the Reuters report. MuleSoft received venture funding from Salesforce. MuleSoft shares are now up 67% in the past 12 months, while Salesforce's stock is up 52% and the S&P 500 is up 14%.

Oracle's stock sinks as disappointing results prompt analyst downgrades

Shares of Oracle Corp. sank 8.4% in premarket trade Tuesday, after the software company's fiscal third-quarter results prompted downgrades by Wall Street analysts. The company reported late Monday profit that beat expectations but sales that missed, amid disappointing growth in its cloud computing business. Stifel Nicolaus analyst Brad Reback cut his rating to hold, after being at buy since at least June 2015, saying the "lackluster" results come in face of strong results from other software companies, including Microsoft Corp. , Salesforce.com Inc. and Adobe Systems Inc. . He said even Oracle's profit beat was driven largely by a lower-than-expected tax rate. KeyBanc Capital's Monika Garg downgraded Oracle to sector weight from overweight. Garg said the transition to the cloude is taking "much longer to play out" then expected, after a third-straight quarter that cloud results and guidance has disappointed, and as execution risk has increased given "larger cloud competitors are growing faster." The stock has rallied 14.9% over the past 12 months, while the technology-heavy Nasdaq 100 has run up 26.8% and the S&P 500 has gained 14.3%.

U.S. stocks opened flat on Thursday, with trading expected to be light as investors looked ahead to a fresh appearance before Congress by Federal Reserve chief Jerome Powell. The Dow Jones Industrial Average dipped 9 points to 25,017. The S&P 500 was down less than one point to 2,714. The Nasdaq Composite Index rose 5 points to 7,277. All three moved less than 0.1% on the day. The three are also coming off a sizable two-day drop, which included back-to-back declines of more than 1% for both the Dow and the S&P. Powell, whose recent comments before a House panel helped send U.S. stocks lower, is due to testify to the Senate Banking Committee at 10 a.m. Eastern. The new Fed boss on Tuesday highlighted ways he personally thinks the U.S. economic outlook has strengthened, which raised concerns that the Fed could become more aggressive in raising interest rates. In company news, L Brands Inc. fell 9.9% a day after giving a disappointing outlook, while Salesforce.com Inc rose 4.4% after its results.
